Terms of Service
TL;DR
- Be 17+. Use one account per person. Your phone number must be yours.
- Don't harass, spam, impersonate, or try to meet minors. Zero tolerance.
- You own what you post. We get a limited licence to show it inside the app.
- IRL makes introductions — your real-world safety is your own responsibility.
- Disputes go to Wyoming courts under Wyoming law. 30-day informal chat first.
These terms are a contract between you and soultosoul LLC, a Wyoming limited liability company with its registered address at 1021 E Lincolnway, Suite 5644, Cheyenne, WY 82001, USA ("soultosoul", "we", "us", "our"). They cover your use of the IRL mobile app, the irl.tech website, and anything else we call part of "the Service".
We wrote this in plain English, on purpose. If anything here conflicts with a mandatory right granted to you by local law, local law wins.
1. Acceptance
By creating an account, installing the app, or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.
2. Eligibility
- You must be at least 17 years old.
- You must have legal capacity to form a binding contract in your country.
- You must not be subject to US, EU, or UN sanctions, nor be located in a sanctioned territory.
- You must not have been previously removed from IRL for a Terms violation.
3. Your account
- One account per person. Your phone number must be a real number that belongs to you.
- You're responsible for keeping access to your account. Don't share your SMS verification code with anyone — we will never ask for it.
- Tell us immediately (hello@irl.tech) if you think your account has been compromised.
- You're responsible for everything that happens under your account.
4. Acceptable use
Don't use IRL to:
- Harass, threaten, intimidate, defame, stalk, or dox anyone.
- Post hate speech, incite violence, or share content that targets a group based on race, ethnicity, religion, gender, sexual orientation, disability, or similar.
- Solicit anyone commercially, run a business through the app, or spam.
- Impersonate any person or entity, or misrepresent your affiliation with anyone.
- Meet or attempt to meet minors for romantic, sexual, or grooming purposes. Zero tolerance — immediate permanent ban and, where we believe a crime has occurred, a report to the relevant authorities.
- Share sexually explicit content, nudity, or content sexualising minors.
- Circumvent matching, blocking, reporting, or moderation systems. Don't create duplicate accounts to evade a ban.
- Upload malware, exploit vulnerabilities, or reverse-engineer the Service beyond what our documentation permits.
- Scrape, bulk-download, or automate access to the Service without our written permission.
- Violate any applicable law.
We decide, in good faith, whether a given action violates these Terms. We can remove content, restrict features, suspend, or permanently ban an account for any violation.
5. Your content
You own what you post — photos, posts, messages, check-ins.
By posting content, you grant soultosoul LLC a non-exclusive, worldwide, royalty-free, fully paid-up licence to host, store, reproduce, display, modify (for purposes such as thumbnailing and moderation), and transmit that content solely to operate the Service — meaning, to show it to the specific users inside the app who are supposed to see it.
This licence lasts as long as your content is on the Service and ends when you delete your content or account, except to the limited extent necessary for (a) backup copies that expire with our retention schedule, and (b) moderation records that we keep for safety (see the Privacy Policy).
You represent that you have the right to post anything you post and that it doesn't infringe anyone else's rights (copyright, privacy, or otherwise).
6. Real-world meetups — important
By using IRL, you acknowledge and agree that:
- IRL facilitates introductions only. We don't vet users. A phone number and a QR at a public venue is not identity verification.
- You meet at your own risk. Interactions that move off-app are between you and the other person.
- You are responsible for your own safety. We strongly recommend: meet in a public place, tell a friend or family member where you're going, stay sober enough to leave on your own, trust your instincts, and leave if you feel unsafe.
- If someone threatens, harms, or makes you feel unsafe, contact local authorities first, then report the user in-app or to hello@irl.tech.
7. Reporting and blocking
Every user profile and chat has a report/block control. Reports go to our moderation queue. For the 1.0 launch, we commit to reviewing reports within 24 hours. Serious reports (threats, meeting minors, safety incidents) are triaged immediately.
Blocking a user hides them from your match pool, your feed, and your chats. They are not notified that you blocked them. You can also report to us directly at hello@irl.tech.
8. Termination
You can delete your account at any time inside the app (Settings → Account → Delete account) or by emailing hello@irl.tech.
We can suspend or terminate your account for violating these Terms, for legal reasons, or to protect other users. For serious violations (safety, minors, impersonation, fraud), we terminate immediately. For lesser violations, we'll typically warn you first.
After termination, the parts of these Terms that should reasonably survive — intellectual property, disclaimers, liability limits, indemnification, dispute resolution — continue to apply.
9. DMCA / copyright
We respect copyright. If you believe content in the Service infringes your copyright, send a notice to hello@irl.tech with:
- Your physical or electronic signature.
- A description of the copyrighted work you claim has been infringed.
- A description of where the infringing material is on the Service (enough for us to locate it).
- Your contact information (address, phone, email).
- A statement that you have a good-faith belief that the disputed use is not authorised by the copyright owner or the law.
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorised to act on their behalf.
We will respond to valid notices and remove infringing material. We may also terminate accounts of repeat infringers.
10. Disclaimers
The Service is provided "as is" and "as available", with all faults and without warranties of any kind, either express or implied. To the maximum extent permitted by applicable law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
We don't guarantee that matches will be available in your area, that you will find the connection you're looking for, that the Service will always be uninterrupted, or that it will be free of errors. We operate the Service on a best-effort basis.
Nothing in this section limits any warranty that cannot be disclaimed under applicable law (including consumer-protection rights in the EU).
11. Limitation of liability
To the maximum extent permitted by applicable law:
- We are not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including loss of profits, loss of data, loss of reputation, or emotional distress — arising from your use of the Service.
- Our total aggregate liability to you for all claims arising out of or relating to the Service is limited to the greater of (a) one hundred US dollars (US$100) or (b) the amount you paid us in the twelve months preceding the claim. Because there is no paid tier in 1.0, for most users this cap is effectively zero.
Some jurisdictions don't allow certain liability limits. If you live in one, the limits above apply only to the maximum extent allowed, and the remaining liability allocation stays as written.
12. Indemnification
You agree to defend, indemnify, and hold harmless soultosoul LLC, its officers, members, employees, and agents from and against any claim, loss, liability, or expense (including reasonable legal fees) arising out of (a) your content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any third-party right or any applicable law. We'll let you know promptly of any such claim.
13. Dispute resolution
Try to work it out with us first. Before filing anything formal, email hello@irl.tech describing the issue. We commit to responding within 30 days and doing our best to resolve it informally.
If that doesn't work, any dispute arising out of or relating to these Terms or the Service will be brought exclusively before the state or federal courts located in Laramie County, Wyoming, USA. You and we consent to personal jurisdiction and venue there.
If you're an EU consumer, nothing in this section prevents you from bringing proceedings in the courts of your country of residence where mandatory law grants that right. In that case, mandatory consumer law of your country of residence will also apply.
14. Governing law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles — subject to any mandatory consumer protections available to you under the law of your country of residence.
15. Changes to these Terms
We can change these Terms. For any material change, we'll notify you in the app and by push notification at least 14 days before it takes effect. We may require you to re-accept the Terms to keep using the Service. If you don't agree with a change, delete your account before the change date.
16. General
Severability. If any part of these Terms is held unenforceable, the rest stays in effect.
Entire agreement. These Terms plus the Privacy Policy plus any in-app notices together are the entire agreement between you and us about the Service. They replace any earlier version.
Assignment. You can't assign these Terms. We can assign them to an affiliate or to a successor in connection with a merger, acquisition, or corporate reorganisation, upon notice to you.
No waiver. If we don't enforce a right once, we can still enforce it later.
Notices. We can send you notices by in-app message, push notification, or via your registered phone number. You send notices to us at hello@irl.tech or by post to the address below.
Apple-specific. If you installed IRL from the Apple App Store, you acknowledge that these Terms are between you and soultosoul LLC, not Apple, and that Apple has no obligation to provide maintenance or support for the app. Apple is, however, a third-party beneficiary of these Terms to the extent of the provisions that specifically concern it, and Apple may enforce them against you.
